Partner Agreement

1. Scope of Agreement

This Partner Agreement governs the relationship between Redeema LLC and organizations (Partners) that use the Redeema platform to manage their communities, run commercial promotions, or resell Redeema services. It supplements and is incorporated into our Terms of Service.

• This agreement applies to all organizational accounts on the Redeema platform
• Partners must designate at least one administrator responsible for compliance
• Partners may have multiple administrators with varying permission levels

2. Partner Obligations

As a Partner, you agree to:

• Maintain accurate and up-to-date account information at all times
• Ensure all members and end-users of your organization comply with Redeema's Terms of Service and AUP
• Obtain all legally required consents before collecting member data through the platform
• Promptly notify Redeema of any security incidents or data breaches
• Comply with all applicable laws, including privacy, consumer protection, and anti-spam laws

3. Data Handling

Partners who process personal data of their members through Redeema agree to act as data controllers for their members' data and to:

• Maintain a lawful basis for processing all personal data
• Respect member rights including access, correction, and deletion requests
• Not share member data with unauthorized third parties
• Implement appropriate technical and organizational security measures
• Comply with GDPR, CCPA, and other applicable privacy laws

Redeema acts as a data processor on behalf of Partners for member data. See our Privacy Policy and DPA for details.

4. Sweepstakes & Promotions

Partners running sweepstakes or promotions through Redeema are solely responsible for:

• Drafting and publishing official rules that comply with all applicable laws
• Registering sweepstakes in jurisdictions that require it (e.g., New York, Florida)
• Fulfilling prizes to winners as promised in the official rules
• Obtaining any required bonds or permits
• Ensuring no-purchase-necessary compliance where required

Redeema provides the technical platform only and is not liable for partner sweepstakes compliance.

5. Fees & Revenue Sharing

Partner pricing is governed by the subscription plan selected at signup. Volume discounts and custom pricing may be available for larger organizations. Contact sales@redeema.io for enterprise pricing.

• Transaction fees apply to dues collection, ticket sales, and crowdfunding
• Payment processing fees are passed through from our payment processor
• Revenue sharing arrangements require a separate written agreement

6. Branding & White-Labeling

Partners may customize their Redeema instance with their organization's branding. However:

• You may not remove or obscure Redeema's required attribution where specified
• You may not use Redeema's name or logo in a way that implies endorsement
• White-label options are available on Enterprise plans only
• Custom domain names require additional configuration and may incur additional fees

7. Termination

Either party may terminate this agreement with 30 days' written notice. Redeema may terminate immediately upon material breach. Upon termination:

• Partners may export their organization's data within 30 days
• Member access to the organization's instance will be suspended
• Outstanding fees remain due and payable
• Data will be deleted per our data retention policy after 90 days

8. Limitation of Liability

Redeema is not liable for: indirect or consequential damages; loss of data, profits, or business opportunities; or disruptions caused by third-party services integrated with the platform.
